Why this role exists:

This position leads cross-border M&A and corporate transactions, secures regulatory compliance in target markets, and supervises international legal entity management. It makes sure corporate restructurings, licensing, and strategic market entries line up with legal, tax, and governance standards in several jurisdictions.

What you'll drive:

M&A and corporate transactions

* Back cross-border M&A and corporate transactions in multiple geographies and jurisdictions, with a focus on technology and gambling businesses.

* Run legal due diligence on targets in multiple jurisdictions.

* Build transaction and market-entry structures that account for corporate, regulatory, tax, and financial factors.

* Handle merger clearance plus regulatory and fiscal approvals with the relevant authorities.

* Give legal support across the whole transaction lifecycle, from first structuring through closing and everything after it.

Gambling regulatory and market entry

* Deliver legal and regulatory support for entry into and operation within regulated gambling markets.

* Evaluate the regulatory requirements and restrictions that apply to new markets, transactions, and corporate structures.

* Work with gambling regulators and other authorities on licensing, approvals, and regulatory questions.

* Spot and reduce regulatory risk created by M&A transactions, restructurings, and shifts in ownership or control.

* Team up with internal and external regulatory counsel so transactions and corporate structures meet applicable gambling regulations.

Corporate governance and legal entity management

* Run the complete legal lifecycle of group entities in multiple jurisdictions: incorporations, annual compliance, internal approvals, reorganizations, and closures.

* Draft, coordinate, and keep corporate documents current, including shareholder and board resolutions, certificates, PoAs, UBO declarations, share transfers, and director appointments.

* Serve as first legal contact for external administrators, company secretaries, regulated intermediaries, and registered agents.

* Keep governance registers, KYC files, group structures, and signature authorities up to date across all active legal entities.

* Drive internal approvals forward and upgrade governance processes and decision-tracking tools.

What makes you a GR8 fit:

Must-have

* Legal qualification in a civil or common law jurisdiction, plus 4+ years of relevant experience in corporate law, M&A, corporate transactions, or legal entity management.

* Deep track record supporting cross-border and multi-jurisdictional transactions.

* Firm grasp of corporate governance, company law, and international structuring.

* Hands-on exposure to gambling law and/or regulatory matters in regulated gambling markets.

* Background working with regulatory authorities and supporting licensing, approvals, or market-entry projects.

* Track record managing legal entities and corporate actions in multiple jurisdictions, including via third-party service providers.

* Outstanding English drafting, communication, and negotiation skills.

Nice-to-have

* In-house background inside a multinational organization.

* Exposure to M&A transactions involving gambling / iGaming companies.

* Working knowledge of beneficial ownership, KYC/AML, nominee, trust, or fiduciary structures.

* Background in tax and financial structuring of corporate transactions.

* Extra languages.
